Acceptance
By accessing or using Lotix, creating an account, starting a subscription, buying tokens, joining a workspace, or using any generation or review workflow, you agree to these Terms. If you use Lotix for a company, production entity, client, or other organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use Lotix.
Eligibility
You must be at least 18 years old, or the age of majority where you live, to create a paid Lotix account or use Lotix on behalf of an organization. Lotix is not intended for children under 13.
Accounts, workspaces, and roles
- You are responsible for keeping your account credentials secure and for activity under your account.
- Workspace owners and authorized team members control project access, invitations, roles, billing choices, and production content based on the app permissions available to them.
- Do not share accounts, misuse invitation links, bypass access controls, or access workspaces where you are not authorized.
- Lotix may suspend or limit access if we believe an account, workspace, project, generation, or payment activity creates security, legal, rights, abuse, or platform-integrity risk.
Subscriptions, tokens, and billing
Lotix currently offers monthly app access and separate prepaid token packs for generation. Prices, taxes, renewal details, included features, and token amounts are shown at checkout or in the billing flow and may change prospectively.
Tokens are workspace generation credits used for eligible AI generation workflows. Tokens are not money, stored value, gift cards, or a general-purpose currency. They cannot be transferred outside Lotix, redeemed for cash, or used except as made available in the app.
Lotix may reserve tokens before a generation request and settle token usage after provider completion or failure handling. Token estimates, reservation behavior, provider costs, and settlement logic can vary by model, settings, duration, media input, and provider behavior.
Content review and account audits
Lotix may, at any time and without prior notice where permitted by law, access, review, scan, preserve, audit, restrict, remove, disable, or investigate any account, workspace, project, prompt, uploaded file, reference image, reference video, production asset, generated output, derivative media, preview, thumbnail, log, billing record, usage record, or related metadata.
Those reviews may be manual, automated, random, periodic, targeted, triggered by reports or provider signals, or performed as part of trust, safety, rights, compliance, security, billing, fraud, abuse-prevention, product-integrity, legal, or enforcement workflows. A review may cover part of a workspace or the entire account, workspace, project history, media library, generation history, and related app data.
Lotix may use employees, contractors, advisors, service providers, automated systems, and third-party tools to perform these reviews. By using Lotix, you consent to those review and audit rights and agree not to upload or generate material that you are not authorized to make available to Lotix and its service providers for those purposes.
Lotix has no obligation to monitor all user content, accounts, workspaces, uploads, prompts, or generated output, and no review, audit, automated scan, moderation action, refusal, removal, delay, failure to review, or failure to remove content creates any responsibility or liability for your content, generated output, or downstream use.
Any review or audit is a platform-control measure only. It is not legal advice, rights clearance, approval, endorsement, certification, or a determination that content or output is lawful, non-infringing, safe, accurate, appropriate, or commercially usable.
Your content and permissions
You keep the rights you have in prompts, scripts, production assets, uploaded references, source images, source videos, project metadata, and other materials you submit to Lotix. You grant Lotix the rights needed to host, store, copy, process, display, transmit, transform, and otherwise use that content to provide and operate the service, including to process generation requests, create previews or derivatives, support review workflows, secure the service, and comply with legal obligations.
As between you and Lotix, you are solely responsible for every prompt, upload, reference, production asset, generated output, review decision, distribution decision, and downstream use connected to your account or workspace.
You represent and warrant that you have all rights, releases, licenses, permissions, consents, and authority needed to upload your content, share it with workspace members, submit it to AI or infrastructure providers, generate output from it, and use the resulting output in the way you choose.
Lotix does not provide legal advice, rights clearance, copyright clearance, trademark clearance, title clearance, likeness clearance, union or guild clearance, music clearance, client-delivery approval, or any determination that content or output is lawful, non-infringing, or safe to release.
Generated output and review
AI systems can produce unexpected, inaccurate, infringing, biased, unsafe, or unusable results. Lotix does not guarantee perfect continuity, perfect identity preservation, unique outputs, legal clearance, provider acceptance, commercial usability, or a specific creative result.
Lotix does not author, endorse, approve, certify, pre-clear, or assume responsibility for generated output. Any generation, preview, storage, review, selection, approval, export, publication, distribution, monetization, or other use of output is done at your own risk.
You are responsible for reviewing generated takes and other output before using, publishing, distributing, selling, licensing, pitching, submitting, posting, or delivering them. That review includes checking for copyright, trademark, publicity, privacy, contract, confidentiality, guild, union, platform, provider, client, and other legal or clearance issues.
Similar or identical outputs may be generated for other users, especially when prompts, references, settings, or model behavior overlap. Lotix does not guarantee that output is protectable, exclusive, original to you, non-infringing, or available for commercial exploitation.
No pre-clearance or legal review
Any entitlement, safety, compliance, provider-access, or generation-gateway check performed by Lotix is a platform control only. It is not legal review, rights clearance, copyright analysis, trademark analysis, fair-use analysis, likeness clearance, or approval for production, release, monetization, or distribution.
Lotix has no obligation to monitor all user content or generated output, and any voluntary review, audit, automated check, moderation action, takedown, refusal, or failure to act does not make Lotix responsible for your content, your output, or your use of either.
If a studio, rightsholder, brand owner, talent, client, platform, regulator, or any other third party claims that your content, prompts, references, output, or use infringes rights or violates law, you are responsible for that claim and for your own defense, settlement, permissions, releases, and clearances.
Acceptable use
You must follow the Acceptable Use Policy, Copyright Policy, and any provider, payment, safety, rights, or workspace policies that apply to your use of Lotix. Lotix may remove content, block generation, limit features, suspend accounts, or close workspaces when we believe a violation or risk exists.
Third-party services
Lotix relies on third-party services for payments, authentication, hosting, storage, analytics, AI generation, media processing, email delivery, and other operations. Third-party terms and policies may apply to those services. Lotix is not responsible for third-party services outside our control.
Lotix intellectual property
Lotix and its software, website, app design, interfaces, branding, documentation, workflows, text, graphics, code, and other materials are owned by Lotix or its licensors. These Terms do not give you ownership of Lotix intellectual property. You may not copy, modify, reverse engineer, scrape, resell, or create derivative services from Lotix except as allowed by law or by written permission.
Service changes and availability
Lotix may add, change, suspend, or discontinue features, providers, models, pricing, access levels, generation limits, token behavior, and workflows. We try to keep the service reliable, but we do not guarantee uninterrupted or error-free availability.
Termination
You may stop using Lotix at any time. Lotix may suspend, limit, or terminate access if we believe you violated these Terms, created legal or platform risk, failed to pay amounts due, misused the service, or exposed Lotix, users, providers, or third parties to harm.
If a subscription is canceled, expires, charged back, or remains unpaid, Lotix may disable access to the affected account or workspace. Unless a longer retention period is required or permitted for legal, billing, safety, security, dispute, chargeback, backup, or enforcement reasons, Lotix will delete the user's video and media data and delete or de-identify related app data within 90 days after the effective cancellation, expiration, non-payment closure, or workspace closure date.
This includes production data stored in app databases, object storage, media storage, derivative storage, and related infrastructure, including Cloudflare R2 where used by Lotix. Covered data includes uploaded source videos, uploaded source images, reference videos, reference images, production assets, generated video takes, generated media, previews, thumbnails, derivative files, dailies media, shot plans, prompts, project records, scene and sequence records, review states, and related workspace metadata.
After that 90-day period, deleted video, media, workspace, and app data may be permanently unrecoverable.
After termination or workspace closure, some information may remain in backups, logs, billing records, legal records, compliance records, or retained media storage for a limited period or as required by law.
Disclaimers
To the maximum extent permitted by law, Lotix is provided as is and as available. Lotix disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.
Lotix does not warrant that AI providers will accept every request, that every generation will complete, that outputs will meet your creative expectations, that outputs will be unique or protectable, or that using any input or output will be lawful, non-infringing, cleared, or commercially usable in any particular context.
You use Lotix, third-party providers, prompts, uploads, references, generated output, and any downstream production or distribution workflow at your own risk.
Limitation of liability
To the maximum extent permitted by law, Lotix will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost content, lost goodwill, production delays, replacement services, or business interruption.
To the maximum extent permitted by law, Lotix's total liability for claims relating to the service will not exceed the amounts you paid to Lotix for the service giving rise to the claim during the three months before the claim arose.
Indemnity
You will defend, indemnify, and hold Lotix and its affiliates, officers, directors, employees, contractors, service providers, and licensors harmless from any claims, demands, damages, losses, liabilities, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising from or related to your content, prompts, uploads, references, generated output, workspace activity, distribution or commercialization of output, violation of these Terms, violation of law, or actual or alleged infringement, misappropriation, dilution, defamation, privacy violation, publicity-right violation, confidentiality breach, contract breach, or other violation of third-party rights.
This indemnity includes claims brought by studios, rightsholders, brands, talent, unions, guilds, clients, distributors, platforms, providers, or any other third party based on content or output connected to your account, workspace, production, or downstream use.
Disputes, changes, and contact
Before filing a claim, you agree to contact Lotix and give us a reasonable opportunity to resolve the issue informally. Nothing in these Terms limits rights that cannot be waived under applicable law.
We may update these Terms from time to time. Continued use of Lotix after updated Terms become effective means you accept the updated Terms.
